1. Agreement to Terms

By accessing or using Beevi’s website, applications, mobile application and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms are a legally binding agreement between you and Beevi (“Beevi,” “we,” “us,” or “our”). If you do not agree, do not use the Service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website or notification through the Service. Your continued use of the Service following any changes indicates your acceptance of the modified Terms.

2. The Service

Beevi is an AI-powered branding engine that provides automated social media content creation, planning, and management services. The Service enables users to:

Draft, rewrite, and plan marketing content using AI
Schedule and publish content across multiple social media platforms
Organize content ideas and campaigns
Schedule and publish content across multiple social media platforms
Manage multiple social accounts/workspaces and approval workflows (when enabled)
Learn and adapt to your brand voice and content preferences over time
Analyze social media performance and engagement

Beevi may be offered as a private beta or “design partner” program. Features may change, be removed, or behave unexpectedly.

3. Eligibility and Account Registration

To use the Service, you must:

Be at least 18 years old
Complete the registration process and provide accurate information
Provide accurate and complete information
Have the authority to enter into this agreement
Not be prohibited by law from using our Service

You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account.

4. Connected Platforms and Third-Party Services

The Service may allow you to connect third-party services (e.g., social networks, content platforms, cloud storage providers). If you connect a third-party service:

You authorize Beevi to access and use data and permissions you grant to provide the requested functionality
you agree to comply with the third-party service’s terms, policies, and rules (including API limits and posting rules)
Beevi is not responsible for third-party service outages, policy changes, suspensions, or restrictions applied to your accounts

You can revoke access to connected services at any time via the third-party service settings and/or within Beevi (when available).

5. AI Features and Outputs

Beevi provides AI-based features that generate drafts, suggestions, and other outputs (“AI Output”). By using AI features, you understand and agree that:

AI Output may be inaccurate, incomplete, or unsuitable for your purposes
You are responsible for reviewing and verifying AI Output before publishing or relying on it
You are responsible for ensuring your use of AI Output complies with laws and platform policies (e.g., advertising rules, IP rights, disclosures)

6. Your Content

You retain all rights to content you provide to Beevi, including business information, brand materials, images, and any other content you upload or share through the Service. By using our Service, you:

Warrant that your content doesn't infringe on others' intellectual property rights, privacy rights, or other legal rights
Accept responsibility for all content you provide, approve for posting, and publish through our Service
Acknowledge that you remain solely responsible for the content published to your social media accounts, even if generated or suggested by Beevi's AI

7. AI-Generated Content and Commercial Usage Rights

Beevi provides AI-powered features that generate social media posts, captions, content strategies, and visual suggestions. The following terms apply to AI-generated content:

Commercial Usage Rights: Any content, captions, strategies, or suggestions generated using Beevi's AI features may be used for commercial and monetized purposes. Beevi does not claim ownership over AI-generated outputs - you retain full usage rights to content you approve and publish.
Content Accuracy: While Beevi strives to generate accurate, relevant, and brand-appropriate content, AI-generated content is provided "as is." You are responsible for reviewing and approving all content before publication. Beevi is not liable for any inaccuracies, errors, or inappropriate content in AI-generated suggestions.
Brand Voice Learning: Beevi's AI learns from the information you provide about your business, your content preferences, and your approval/rejection patterns to improve content generation. This learning is specific to your account and is not shared with other users.
User Responsibility: You acknowledge that you have the final editorial control and responsibility for all content published through Beevi. By approving content for publication, you confirm that it meets your standards and complies with applicable laws and platform policies.

8. Platform Compliance and Integration

When using our Service to connect with and publish to social media platforms, you must:

Follow platform-specific content guidelines
Respect API rate limits, posting frequency restrictions, and content guidelines established by each platform
Maintain valid and authorized credentials for all connected platforms
Not use Beevi to violate any platform's terms of service or engage in prohibited activities
Understand that platform policies may change, and you are responsible for ensuring continued compliance

Activities that repeatedly exceed platform rate limits, violate platform policies, or otherwise abuse connected platforms are strictly prohibited and may result in immediate suspension or termination of your Beevi account.

You must comply with all terms and policies of connected social media platforms, including but not limited to:

Our privacy practices are governed by our Privacy Policy. We:

Collect and process data as described in our Privacy Policy
Protect your personal information
Comply with applicable data protection laws
Implement industry-standard security measures to protect your data

10. Intellectual Property

Beevi's intellectual property includes:

Our software, algorithms, AI models, and technology infrastructure
Trademarks, logos, brand elements, and service marks
Documentation, user interfaces, and design elements
Patents, trade secrets, and proprietary methodologies

11. Intellectual Property

You must not:

Violate any applicable laws, regulations, or third-party rights.
Infringe upon intellectual property rights of others.
Attempt to breach, compromise, or circumvent our security measures or authentication systems.
Use the Service for any unauthorized, fraudulent, or illegal purposes.
Harass, abuse, threaten, or harm other users or third parties.
Engage in spam, spam-like behavior, or automated posting that violates platform policies.
Post excessive, repetitive, or automated content that disrupts platforms or violates their rules.
Use the Service to distribute malware, viruses, or harmful code.

12. Account Termination and Suspension

We may terminate or suspend your account and access to the Service:

For violations of these Terms or our policies
For engaging in spam, spam-like behavior, or repeated violations of platform compliance requirements
Due to extended inactivity
Upon your request for account deletion
For fraudulent activity, payment disputes, or chargebacks
If required by law or legal process

13. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We do not warrant that the Service will be uninterrupted, secure, or error-free
We do not warrant that AI-generated content will be accurate, appropriate, or free from errors
We do not guarantee specific results, engagement levels, or business outcomes from using the Service
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
We are not responsible for the actions, content, or policies of third-party platforms (including social media networks)

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Beevi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities
Our total liability for any claims arising from or related to the Service is limited to the amount you paid to Beevi in the twelve (12) months preceding the claim, or $100, whichever is greater
We are not liable for any damages arising from your use or inability to use the Service, unauthorized access to your account, or third-party actions
We are not responsible for content posted to your social media accounts, whether generated by our AI or approved by you

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Beevi, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use or misuse of the Service
Your violation of these Terms or any applicable laws or regulations
Content you provide, approve, or publish through the Service
Your violation of third-party rights, including intellectual property rights, privacy rights, or platform terms of service
Any disputes between you and other users or third parties

16. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through:

Good faith negotiation between the parties
If negotiation fails, binding arbitration in accordance with the rules of the American Arbitration Association
Arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction

You agree to waive any right to a jury trial and to participate in any class action lawsuit. Each party shall bear its own costs and attorneys' fees unless otherwise determined by the arbitrator.

17. Changes to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes:

Adding, removing, or modifying features and functionality
Changing subscription plans, pricing, or service tiers
Adding or removing support for social media platforms
Updating AI models, algorithms, or content generation capabilities
We may also limit certain features or access based on usage, plan, or technical requirements.

We will make reasonable efforts to notify you of material changes, but we are not liable for any modifications or discontinuations of the Service.

18. Third-Party Services and Links

The Service integrates with and may contain links to third-party platforms, services, and websites (including social media networks, and payment processors). These third-party services:

Are not under Beevi's control
Have their own terms of service and privacy policies that you must comply with
May collect data independently of Beevi
Are provided "as is" without any warranties from Beevi

Beevi is not responsible for the content, policies, practices, or availability of third-party services. Your use of third-party services is at your own risk.

Beevi is not responsible for any actions taken by third-party platforms, including account suspensions, content removal, or restrictions resulting from content published through the Service.

19. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Beevi regarding the Service and supersede all prior agreements and understandings.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
